Agreement to Terms
By accessing or using the Paidifi website and services (the "Services"), you agree to be bound by these Terms. If you do not agree to these Terms, do not use our Services.
Description of Services
Paidifi provides a software-as-a-service platform that allows businesses to upload invoice data, send automated email reminders, and use AI-powered voice agents to initiate outbound collection calls. Paidifi acts as a tool to facilitate your internal accounts receivable processes; we do not act as a debt collection agency on your behalf.
Your Responsibilities
You are solely responsible for the accuracy of the data (CSV files, PDFs) you upload to the platform. You represent and warrant that you have the legal right to share the contact information of your customers for the purpose of sending automated communications and initiating AI voice calls. You are responsible for ensuring that your use of our Services complies with all applicable local, state, provincial, and federal laws, including fair debt collection practices and telecommunications regulations.
Acceptable Use
You agree not to use the Services for any unlawful purpose, including harassing, abusing, or threatening any individual. You agree not to use the Services to collect debts that you do not have a legal right to collect. We reserve the right to terminate your account immediately if we suspect you are using the platform for illegal or abusive purposes.
AI Voice Calls and Communications
You acknowledge that the automated emails and AI voice calls generated by our platform are sent on your company's behalf. While Paidifi uses advanced AI to support natural and respectful conversations, Paidifi is not liable for the specific content generated during dynamic AI interactions or disputes arising between you and your customers. You must provide a valid phone number for live call transfers, and you are responsible for handling payment information securely during those transferred calls.
Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, PAIDIFI SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY. PAIDIFI’S TOTAL LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE AMOUNTS PAID BY YOU TO PAIDIFI IN THE TWELVE (12) MONTHS PRIOR TO THE EVENT GIVING RISE TO THE LIABILITY.
Indemnification
You agree to indemnify, defend, and hold harmless Paidifi, its founders, and contractors from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising out of your use of the Services, your violation of these Terms, or your violation of any rights of a third party.
Termination
We may terminate or suspend your access to the Services immediately, without prior notice, for conduct that we determine, in our sole discretion, violates these Terms or is harmful to other users, us, or third parties. You may stop using the Services at any time.
Governing Law
These Terms shall be governed by and construed in accordance with the laws of the Province of Ontario, Canada, without regard to its conflict of law provisions.
